Insider trading

Officers, directors and 10% shareholders must report trades in their own company’s stock within two business days. These are the open-market buys and sells — decisions, not compensation.

Grants and option exercises are excluded. Most reported insider activity is compensation: shares awarded, options exercised, stock withheld to cover tax. Those arrive on a schedule whatever the insider thinks of the business, and only around 6% of filed transactions are open-market purchases. This page shows SEC transaction codes P and S only.
Buying and selling are not opposites. An insider buys for one reason: they expect to make money. They sell for many — diversifying, a house, a tax bill, a divorce, or a pre-scheduled plan set up months earlier. Selling is far weaker evidence about a company than buying, and a page showing both should not imply otherwise.
Not financial advice. Insiders are wrong about their own companies regularly. A trade is one fact among many, not a recommendation. Figures come from Form 4 filings as submitted; filers make mistakes and amend them.
